Terms & Conditions
These Terms & Conditions ("Terms") form a binding agreement between you and AgentFactory ("we", "us") governing use of the AgentFactory website and customer-support platform.
Last updated: October 15, 2026
1. Acceptance
By creating an account, using a workspace, or continuing to use any part of the platform (including free trials and API access), you accept these Terms. If you accept on behalf of a company or organization, you confirm you are authorized to bind that entity — that entity is then the 'Customer'.
2. Accounts, workspaces and roles
- An account belongs to a person identified by a unique email address. Each Organization has one owner, who may grant owner/admin/supervisor/agent/viewer access to teammates.
- You are responsible for the activity performed in your workspaces, for keeping credentials safe, and for promptly revoking access of people who should no longer have it.
- We may refuse or suspend any account that violates these Terms (including a breach of the Acceptable Use rules in section 8).
3. The service
- The platform lets you manage customer conversations across channels (website chat, email, WhatsApp, Messenger, Instagram, Telegram, LINE, SMS, voice, custom API), and includes automation, knowledge base, campaigns, analytics, and premium AI features.
- The service is normally delivered over the internet and reached through your browser, our REST API, or the embeddable chat widget. We may change, deprecate, or improve features from time to time; material changes that would remove a core paid feature will be notified at least 30 days in advance.
- Notice about AI features: they are provided 'as-assist', not autonomous legal, financial, or medical advice. A human in your team remains responsible for any customer-facing decision.
4. Orders, plans, billing and renewals
- Paid plans are billed per the plan grid on the pricing section of the home page for the chosen billing period. Taxes (GST/VAT) are calculated per your billing jurisdiction and shown on your invoice.
- Payments are processed by our payment provider (Cashfree). When you subscribe, Cashfree collects and stores your payment instrument and, where applicable, sets up a mandate (standing instruction) used to auto-renew your plan; you authorize that mandate when you subscribe.
- Subscriptions auto-renew at the end of each period until cancelled. You can cancel any time; the cancellation takes effect at the end of the current paid period. Failed renewal payments trigger our dunning flow and, ultimately, suspension of the workspace until the amount is settled.
- Unused AI credits expire at the end of each billing month unless a credit pack or plan feature states otherwise.
- Except for our refund policy stated (if any) on the pricing page, fees paid are non-refundable.
5. Your data
- You own content, contacts, and conversation data you put into your workspaces. You give us a worldwide, revocable license to process and store that content only to run the service for you (including sending it to your configured channel processors and, at your election, your configured AI provider).
- You may export your data (REST API, CSV exports, contact imports, scheduled report digests) at any time; on request, we will assist with full-workspace deletion.
- You acknowledge that when AI features are enabled for your workspace, conversation context needed for the requested operation is transmitted to that AI provider, and that this is a necessary part of operating those features.
6. Service availability and support
- We aim for high availability and expose an uptime status for the production app. Planned maintenance is normally announced in advance; some unplanned maintenance may occur without notice.
- Critical incidents affecting the platform are handled per our published incident-management practices; premium plans can include priority support.
7. Third-party services
- The service integrates with third-party platforms (Meta, Twilio, Telegram, LINE, Slack, Linear, GitHub, Cashfree, mail providers, AI providers, and others). Those services have their own terms; your use of an integration constitutes acceptance of that provider's terms with respect to your account there.
- We are not liable for a third party's failure to deliver a message or payment, provided our own delivery setup was correctly configured and functioning.
8. Acceptable use
- Do not use the platform, the chat widget, campaigns, or AI features to send unlawful, deceptive, or unsolicited bulk messages; campaigns on any channel must comply with applicable marketing-consent law, and outbound messages must honor opt-outs (one-click unsubscribe links are provided on every campaign-style email).
- Do not probe, scan, or test the security of the platform; if you find a vulnerability, report it under our responsible-disclosure guidance on the Security page instead.
- Do not reverse-engineer the platform except where such a restriction is prohibited by law; do not resell access to the platform without a reseller agreement.
- Do not upload malicious content, infringe intellectual property, or impersonate another person or entity.
9. Intellectual property
- The platform, including its code, UI, documentation, and branding, is owned by us and protected by intellectual-property law. Nothing in these Terms transfers any ownership to you.
- The brand name, logo, and visual identity of the platform may not be used without written permission, except for the marketing-branding default built into the white-label feature of Enterprise plans.
10. Termination
- You may terminate at any time by cancelling your subscription and closing your workspace(s).
- We may suspend or terminate immediately if continued service would violate law or these Terms, or for a payment default that survives the dunning period. Where possible we will notify you of a suspension in advance.
- On termination, your right to use the service stops, and any data you have is subject to the retention and deletion terms in our Privacy Policy.
11. Disclaimers and limitation of liability
- The service is provided 'as is'. To the maximum extent permitted by law we disclaim implied warranties of merchantability and fitness for a particular purpose.
- Except for your payment obligations and for breaches of the intellectual property or confidentiality sections, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data.
- Our total liability in any 12 months is limited to the fees you paid us in that period.
12. Governing law and dispute resolution
These Terms are governed by the laws of the jurisdiction where our operating company is registered, without regard to conflict-of-law rules. Any dispute will be brought to the courts of that jurisdiction unless applicable consumer law grants you a different forum.
13. Changes to these Terms
We may amend these Terms. If a change materially reduces your rights or materially changes paid features, we will notify you (via email to account owners or in-app) at least 30 days before the change takes effect; continuing to use the service after the effective date constitutes acceptance.
